1. Acceptance of Terms

By accessing or using the MPLEX Messaging Services platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

MPLEX Technologies Limited provides a communication platform ("MPLEX Messaging Services") that enables businesses to send and receive messages via SMS and email. The Service includes a web-based dashboard, APIs, and related tools for managing messaging, contacts, billing, and analytics.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information during registration.

4. Acceptable Use

You agree not to use the Service to:

• Send unsolicited messages (spam) or messages that violate applicable anti-spam laws
• Transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity, or falsely represent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal purpose or in violation of any applicable regulations, including telecommunications laws

We reserve the right to suspend or terminate your account and refuse any current or future use of the Service for violations of this section.

5. Messaging Compliance

You are solely responsible for ensuring that your use of messaging services complies with all applicable laws and regulations, including:

• Obtaining proper consent from recipients before sending messages
• Providing opt-out mechanisms where required by law
• Complying with local telecommunications regulations in each country where messages are sent
• Adhering to carrier-specific requirements and guidelines

6. Billing & Payment

Certain features of the Service require payment. By subscribing to a paid plan or purchasing credits, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information and keep it up to date
• Accept that message costs are calculated per message segment and vary by destination and channel

Prepaid credits are non-refundable unless required by law. Subscription fees are billed in advance on a recurring basis. We may change pricing with 30 days' notice.

7. Intellectual Property

The Service, including its design, features, and content, is owned by MPLEX Technologies Limited and protected by intellectual property laws. You retain ownership of content you submit through the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

8. Service Availability & Warranties

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that messages will be delivered to all recipients or within a specific timeframe, as delivery depends on third-party carriers and network conditions.

9. Limitation of Liability

To the maximum extent permitted by law, MPLEX Technologies Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Termination

You may terminate your account at any time by contacting support. We may terminate or suspend your access immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Jamaica. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Jamaica.
